Terms & Conditions

Ocupie is a Software-as-a-Service (SaaS) platform (“ Platform”) developed, owned, operated, and managed by Beelogical Software Solutions Pvt. Ltd. (“Beelogical”). The Platform enables space owners (“Tenants”) to list, manage, and monetize their physical spaces including conference rooms, coworking desks, event halls, meeting rooms, sports turfs, badminton courts, tennis courts, studios, and other bookable venues and enables customers to discover and book such spaces online. Ocupie acts solely as a technology intermediary facilitating bookings between Tenants and Customers and is not a party to any rental, license, lease, or other commercial arrangement entered into between them.

These Terms & Conditions, together with our Privacy Policy and Refund Policy, constitute a legally binding agreement between you and Beelogical Software Solutions Pvt Ltd. By registering, listing a space, or making a booking you confirm you are at least 18 years old and accept these terms.

• “Billing Period” - The recurring subscription period applicable to a Tenant’s selected subscription plan, commencing on the date of successful payment of the applicable Subscription Fees and continuing for the duration of the selected subscription cycle (whether monthly, quarterly, annually, or such other period as may be offered by the Platform), unless earlier terminated in accordance with these Terms.
• “Booking” – A confirmed reservation for a Space by a Customer.
• “Customer” – An end user who browses, reserves, or pays for a space.
• “Employee” – A person invited by a Tenant to operate their account.
• “Force Majeure” - Any event or circumstance beyond the reasonable control of a party, which prevents, delays, or materially affects the performance of its obligations under these Terms, including but not limited to acts of God, floods, earthquakes, storms, fires, epidemics, pandemics, public health emergencies, war, terrorism, civil unrest, riots, strikes, lockouts, governmental actions, changes in law, regulatory restrictions, utility failures, internet or telecommunications outages, cyberattacks, failures of third-party service providers, cloud infrastructure outages, or any other event beyond the reasonable control of the affected party.
• “Platform” – The Ocupie web app, APIs, and all related services.
• “Platform Fee” – Any charge levied by Ocupie on transactions or subscriptions.
• “Space” – Any physical venue, facility, property, or bookable area listed by a Tenant on the Platform for reservation by Customers, including but not limited to conference rooms, coworking desks, event halls, meeting rooms, sports turfs, badminton courts, studios, and similar venues.
• “Subscription Fees” - The recurring fees payable by a Tenant to Beelogical for access to and use of the Platform and its features, in accordance with the applicable subscription plan selected by the Tenant.
• “Tenant” – A business or individual who registers to list and manage spaces.
• “Quotation” – A price estimate sent to a prospective Customer.

• Provide accurate, complete, and current information during registration.
• Tenants are responsible for all activities by their invited employees.
• Maintain the confidentiality of your credentials and notify us of any unauthorized access.
• We may verify identity, business details, or GST certificates before activating an account.

Beelogical reserves the right to reject, suspend, or terminate any registration or account where the information provided is false, misleading, incomplete, unlawful, or cannot be reasonably verified.

Listings

• Descriptions, photos, amenities, and pricing must be accurate and up to date.
• Only list spaces you have the legal right to rent or sublease.
• Tenants may define their own space-level conditions (cancellation, damage policies, etc.) provided they do not contradict platform terms.

Operations

• Honour all confirmed bookings.
• Comply with local laws — fire safety, occupancy limits, labor law, and GST obligations.
• Repeated cancellations or verified customer complaints may result in account review.

• Provide truthful information when registering and booking.
• Adhere to the Tenant’s space-specific rules and house rules.
• Do not misuse, damage, or sublease a booked space.
• You are financially liable for any damage caused during your booking.
• Vacate the space at the agreed end time; overstay charges may apply.

• Beelogical reserves the right to revise the applicable Subscription Fees, Platform Fees, transaction commissions, and other charges payable under these Terms from time to time upon providing at least thirty (30) days’ prior written notice to the affected Tenants through the Platform, email, or such other mode of communication as Beelogical may determine.
• Tenants shall pay the applicable Subscription Fees for access to and use of the Platform in accordance with the subscription plan selected by them. Subscription Fees shall become due and payable upon commencement of each Billing Period and shall be payable in advance unless otherwise agreed in writing.
• Subscription Fees entitle the Tenant to access and use the Platform and its features, including, without limitation, the dashboard, booking management system, quotation engine, reporting tools, calendar management, and such other functionalities as may be included within the applicable subscription plan.
• In addition to the Subscription Fees, the Platform may levy transaction-based Platform Fees or commissions in respect of bookings processed through the Platform. The applicable Platform Fees shall be communicated to the relevant Tenant prior to processing the relevant booking.
• Payment gateway processing fees are passed through from third-party providers.
• Invoices for Subscription Fees and other applicable Platform Fees shall be generated in accordance with the applicable Billing Period and shall be made available through the Tenant dashboard.
• Failure to pay any Subscription Fees, Platform Fees, or other applicable charges within fourteen (14) days from the date of the relevant invoice may result in suspension, restriction, or termination of access to the Platform until all outstanding amounts have been paid in full.

Beelogical Software Solutions Pvt Ltd is GST registered. All platform fees carry GST at 18% (CGST 9% + SGST 9% intra-state; 18% IGST inter-state) over and above the base fee.

• GST on space bookings charged by Tenants to Customers is the Tenant’s sole responsibility.
• Tenants may add their GSTIN in account settings for inclusion on platform tax invoices.
• Consult a qualified CA for Input Tax Credit (ITC) eligibility.

• Customer booking refunds shall be governed by the cancellation policy specified by the relevant Tenant at the time of booking. Ocupie shall not be responsible for refund disputes arising between Tenants and Customers.
• In the event of cancellation of a booking, the Customer shall be entitled to a refund of the booking amount plus the applicable GST paid thereon. The Platform Fee charged by Ocupie shall be non-refundable except where required under applicable law.
• Ocupie subscription fees shall be non-refundable once the billing period has started.
• Approved refunds are processed within 7–10 business days to the original payment method.

The collection, processing, storage, retention, disclosure, and protection of Personal Data through the Platform shall be governed by the Ocupie Privacy Notice, which forms an integral part of these Terms. By using the Platform, Users acknowledge that they have read and understood the Privacy Notice.

The Platform, together with all software, technology, source code, object code, databases, interfaces, documentation, designs, layouts, trademarks, service marks, logos, trade names, domain names, and all associated intellectual property rights embodied therein, has been developed by and shall remain the sole and exclusive property of Beelogical.

Users are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for its intended purpose and in accordance with these Terms.

• Beelogical Software Solutions is a technology intermediary and does not own, operate, or control any listed space.
• Beelogical shall not be liable for any injury, loss, death, damage, theft, misconduct, negligence, breach of contract, regulatory violation, or other acts or omissions arising from the use of any listed space or from interactions between Tenants and Customers.
• In no event shall Beelogical’s aggregate liability exceed the total Subscription Fees and Platform Fees actually received by Beelogical from the relevant user during the three (3) months immediately preceding the event giving rise to the claim.
• We are not liable for indirect, consequential, or punitive damages.
• Force majeure events release us from liability for service disruptions.

Users agree to defend, indemnify, and hold harmless Beelogical, its directors, officers, employees, affiliates, and agents from and against any claims, actions, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees) arising from:

• breach of these Terms;
• violation of applicable laws;
• misuse of the Platform;
• inaccurate listings or representations;
• disputes between Tenants and Customers.

Termination by Users

A Tenant or Customer may terminate their account at any time by submitting a request through the Platform or such other mechanism as may be notified by Beelogical, provided that:

• all outstanding Subscription Fees, Platform Fees, charges, and other amounts payable have been fully settled;
• all pending booking obligations have been fulfilled or otherwise resolved; and
• there are no ongoing investigations relating to fraud, misuse, or unlawful activities.

Termination by Beelogical

Beelogical may suspend, restrict, or terminate any Tenant or Customer account, with or without prior notice, where it reasonably determines that the relevant user has:

• breached these Terms;
• submitted false, inaccurate, misleading, or fraudulent information;
• failed to pay applicable Subscription Fees or other charges;
• misused the Platform;
• engaged in unlawful or fraudulent activities;
• infringed intellectual property rights;
• received repeated verified complaints; or
• otherwise acted in a manner prejudicial to the Platform, its users, or Beelogical.

Upon Termination

• access to the Platform shall immediately cease;
• all licences and permissions granted under these Terms shall automatically terminate;
• active bookings shall continue until their scheduled completion unless terminated due to fraud, unlawful activity, or as otherwise required under Applicable Law;
• outstanding payment obligations shall survive termination; and
• Beelogical may deactivate or remove user access credentials.

Termination shall not affect any rights, remedies, obligations, liabilities, indemnities, payment obligations, confidentiality obligations, intellectual property rights, dispute resolution provisions, limitation of liability provisions, or any other provisions which by their nature are intended to survive termination.

Users may request export of eligible account information within thirty (30) days from the effective date of termination, subject to verification, Applicable Law, data retention obligations, security requirements, and the Privacy Notice.

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Pune, Maharashtra. We will notify users of material changes at least 15 days in advance via email.
